This End User License Agreement, including the Order Form which by this reference is incorporated herein (this “Agreement”), is a binding agreement between KLDiscovery Ontrack, LLC (“Licensor”) and the person or entity identified on the Order Form as the licensee of the Software (“Licensee”).

LICENSOR PROVIDES THE SOFTWARE SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND ON THE CONDITION THAT LICENSEE ACCEPTS AND COMPLIES WITH THEM. BY CLICKING THE “ACCEPT” BUTTON/CHECKING THE “ACCEPT” BOX ON THE ORDER FORM YOU (A) ACCEPT THIS AGREEMENT AND AGREE THAT LICENSEE IS LEGALLY BOUND BY ITS TERMS; AND (B) REPRESENT AND WARRANT THAT: (i) YOU ARE 18 YEARS OF AGE OR OLDER/OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (ii) IF LICENSEE IS A CORPORATION, GOVERNMENTAL ORGANIZATION, OR OTHER LEGAL ENTITY, YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF LICENSEE AND BIND LICENSEE TO ITS TERMS. IF LICENSEE DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, LICENSOR WILL NOT AND DOES NOT LICENSE THE SOFTWARE TO LICENSEE AND YOU MUST NOT DOWNLOAD/INSTALL THE SOFTWARE OR DOCUMENTATION.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT OR YOUR OR LICENSEE’S ACCEPTANCE OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, NO LICENSE IS GRANTED (WHETHER EXPRESSLY, BY IMPLICATION, OR OTHERWISE) UNDER THIS AGREEMENT, AND THIS AGREEMENT EXPRESSLY EXCLUDES ANY RIGHT, CONCERNING ANY SOFTWARE THAT LICENSEE DID NOT ACQUIRE LAWFULLY OR THAT IS NOT A LEGITIMATE, AUTHORIZED COPY OF LICENSOR’S SOFTWARE.

1. DEFINITIONS.

For purposes of this Agreement, the following terms have the following meanings:

  • “Unique User Session” means an instance of ReadySuite® Software on a single machine initiated with a valid Windows user profile associated with an individual user.
  • “AI Feature” means the AI Script Assistant functionality of the Software, which allows Authorized Users to generate, explain, or modify scripts for use with the Software using generative artificial intelligence, as further described in Section 8.
  • “AI Output” means any script, code, explanation, or other content generated by a Third-Party AI Provider in response to an AI Prompt submitted through the AI Feature.
  • “AI Prompt” means any text, file, document, or other content that an Authorized User submits to a Third-Party AI Provider through the AI Feature.
  • “AI API Credentials” means the application programming interface key(s), tokens, or other authentication credentials issued to Licensee by a Third-Party AI Provider and entered by Licensee into the Software to enable the AI Feature.
  • “Documentation” means user manuals, technical manuals, and any other materials provided by Licensor, in printed, electronic, or other form, that describe the installation, operation, use, or technical specifications of the Software.
  • “Intellectual Property Rights” means any and all registered and unregistered rights granted, applied for, or otherwise now or hereafter in existence under or related to any patent, copyright, trademark, trade secret, database protection, or other intellectual property rights laws, and all similar or equivalent rights or forms of protection, in any part of the world.
  • “License Fees” means the license fees, including all taxes thereon, paid or required to be paid by Licensee for the license granted under this Agreement.
  • “Order Form” means the order form filled out and submitted by or on behalf of Licensee, and accepted by Licensor, for Licensee’s purchase of the license for the Software granted under this Agreement.
  • “Person” means an individual, corporation, partnership, joint venture, limited liability company, governmental authority, unincorporated organization, trust, association, or other entity.
  • “Sanctions” means sanctions administered or enforced by the US Department of the Treasury’s Office of Foreign Assets Control (OFAC), US Department of State, United Nations Security Council, European Union, Her Majesty’s Treasury in the United Kingdom and/or or other relevant sanctions authority”;
  • “Software” means ReadySuite® for which Licensee is purchasing a license or acquiring a trial license, as expressly set forth in the Order Form.
  • “Third Party” means any Person other than Licensee or Licensor.
  • “Third-Party AI Provider” means any third-party provider of a large language model or similar generative AI service that Licensee elects to connect to the AI Feature using Licensee’s own account and AI API Credentials, which may include, without limitation, Anthropic, PBC, OpenAI, L.L.C., and/or such other providers as Licensor may support from time to time. Licensor does not curate, approve, or restrict which Third-Party AI Provider, or which model made available by that Third-Party AI Provider, Licensee may use; the providers and models available to Licensee are determined solely by Licensee’s own AI API Credentials and that Third-Party AI Provider’s account permissions.

2. LICENSE GRANT AND SCOPE.

The Software and Documentation is licensed to Licensee under either a Machine License or a Network License. Machine Licenses and Network Licenses are granted as either Evaluation Licenses or Subscription Licenses, as further defined below.

  1. MACHINE LICENSE.
    1. A Machine License entitles the Licensee to download, activate and use the Software on one machine, computer, or workstation (“Licensed Machine”) at any time. Any number of users may use the Software on the Licensed Machine, but only one (1) user may use the Software on the Licensed Machine at any given time. Licensee may de-install the Software from a Licensed Machine and reinstall it on a different Licensed Machine at any time.
    2. A Machine License may not be used in a Citrix or Terminal Services environment
    3. If a Machine License is installed on a Windows Server based operating system, only one instance can be launched or opened at any given time.
  2. NETWORK LICENSE.
    1. A Network License entitles the Licensee to download, activate and use the Software on a single local area network.
    2. A Network License requires installation of a Licensing Service within the Licensee’s local area network.
    3. The Licensing Service will serve licenses for Unique User Sessions to clients of the Software, defined as concurrent instances of the Software.
    4. Subject to subsection 2(b)v, a licensee may launch multiple Unique User Sessions of the Software on the local area network.
    5. The number of Unique User Sessions is limited to the number subscribed for by Licensee.
  3. Subject to and conditioned upon Licensee’s payment of the License Fees and Licensee’s strict compliance with all terms and conditions set forth in this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable limited license during the Term to use the Software and Documentation, solely as set forth in this Section 2 and subject to all conditions and limitations set forth in Section 3 or elsewhere in this Agreement. This license grants Licensee the right, exercisable solely by and through Licensee’s Authorized Users, to:
  4. Download and install in accordance with the Documentation one (1) copy of the Software on one (1) computer (under a Machine License) or server (under a Network License) owned or leased, and controlled by, Licensee.
  5. Licensee shall not, and shall not allow any Person to, install or use any such copy other than if and for so long as the copy installed in accordance with the preceding sentence is inoperable and, provided, further, that Licensee uninstalls and otherwise deletes such inoperable copy(ies).
  6. All copies of the Software made by the Licensee:
    1. will be the exclusive property of the Licensor;
    2. will be subject to the terms and conditions of this Agreement; and
    3. must include all trademark, copyright, patent, and other Intellectual Property Rights notices contained in the original.
  7. All scripts provided by Licensor remain the property of Licensor. Modifications or extensions of Licensor’s scripts by Licensee or its agents does not create any rights in Licensee in such modified scripts. Nothing in this Agreement is intended to prevent Licensee from writing its own scripts or engaging others to do so. Licensee’s right to use Licensor’s scripts terminates with the termination of any License to the Software granted by this Agreement. Notwithstanding the foregoing, ownership of AI Output generated through the AI Feature is governed exclusively by Section 8(f), and not by this Section 2(g).

3. LICENSE ACTIVATION.

  1. All licenses require activation. The primary mode of activation is through an internet connection.
  2. If no internet connection is available, offline activation is possible through live support.
  3. The activation process records unique information about the computer, including machine name and IP address.
  4. Once activated, the Software will periodically communicate with Licensor’s server to verify license validity. The software will autonomously and automatically deactivate if the license term has expired, or if the Licensee Fee has not been paid.

4. USE RESTRICTIONS.

Licensee shall not, directly or indirectly, without Licensor’s prior written consent, which Licensor may grant or withhold in its sole discretion:

  1. use (including make any copies of) the Software or Documentation beyond the scope of the license granted under Section 2;
  2. modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Software or Documentation or any part thereof, provide any other Person, including any subcontractor, independent contractor, affiliate, or service provider of Licensee, with access to or use of the Software or Documentation; provided that nothing in this Agreement is intended to prevent Licensee or its agents from creating scripts for use with the Software, or from modifying the scripts provided by Licensor;
  3. combine the Software or any part thereof with, or incorporate the Software or any part thereof in, any other programs;
  4. reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Software or any part thereof;
  5. remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices provided on or with the Software or Documentation, including any copy thereof;
  6. except as expressly set forth in Section 2(d) and Section 2(e), copy the Software or Documentation, in whole or in part;
  7. rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software, or any features or functionality of the Software, to any Third Party for any reason, whether or not over a network or on a hosted basis, including in connection with the internet or any web hosting, wide area network (WAN), virtual private network (VPN), virtualization, time-sharing, service bureau, software as a service, cloud, or other technology or service;
  8. use the Software or Documentation in violation of any law, regulation, or rule; or
  9. use the Software or Documentation for purposes of competitive analysis of the Software, the development of a competing software product or service, or any other purpose that is to the Licensor’s commercial disadvantage.
  10. use, or permit any Authorized User to use, the AI Feature in violation of Section 8 of this Agreement

5. RESPONSIBILITY FOR USE OF SOFTWARE.

Licensee is responsible and liable for all uses of the Software and Documentation through access thereto provided by Licensee, directly or indirectly. Specifically, and without limiting the generality of the foregoing, Licensee is responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by Licensee or by any other Person to whom Licensee may provide access to or use of the Software and/or Documentation, whether or not such access or use is permitted by or in violation of this Agreement.

6. COMPLIANCE MEASURES.

  1. The Software may contain/contains technological copy protection or other security features designed to prevent unauthorized use of the Software, including features to protect against any use of the Software that is prohibited under Section 3. Licensee shall not, and shall not attempt to, remove, disable, circumvent, or otherwise create or implement any workaround to, any such copy protection or security features.
  2. Licensee acknowledges that Licensor may, directly or indirectly through the services of Third Parties, collect and store information regarding use of the Software and about equipment on which the Software is installed or through which it otherwise is accessed and used, through:
    1. the provision of maintenance and support services; and
    2. security measures included in the Software as described in Section 6.
  3. Licensee agrees that the Licensor may use such information for any purpose related to any use of the Software by Licensee or on Licensee’s equipment, including but not limited to:
    1. improving the performance of the Software or developing Updates; and
    2. verifying Licensee’s compliance with the terms of this Agreement and enforcing the Licensor’s rights, including all Intellectual Property Rights in and to the Software.
  4. Notwithstanding Sections 6, Licensor’s collection of information under this Section 6 does not extend to, and Licensor does not by virtue of this Agreement acquire any right to collect, the content of any AI Prompt, any file attached to an AI Prompt, or any AI Output, except as expressly set forth in Section 8(d).
  5. Information on the use of the Software may be opt-out, provided that Licensee requests an option to disable such reporting through the Software’s license mechanism. When such reporting is disabled, no information is provided back to Licensor on such usage reporting. For the avoidance of doubt, this Section 6(e) applies equally to the telemetry described in Section 8(d), and Licensee may request that such AI Feature telemetry be disabled on the same basis.

7. INTELLECTUAL PROPERTY RIGHTS.

Licensee acknowledges and agrees that the Software and Documentation are provided under license, and not sold, to Licensee. Licensee does not acquire any ownership interest in the Software or Documentation under this Agreement, or any other rights thereto, other than to use the same in accordance with the license granted and subject to all terms, conditions, and restrictions under this Agreement. Licensor and its licensors and service providers reserves and shall retain its/their entire right, title, and interest in and to the Software and all Intellectual Property Rights arising out of or relating to the Software, except as expressly granted to the Licensee in this Agreement. Licensee shall use commercially reasonable efforts to safeguard all Software (including all copies) from infringement, misappropriation, theft, misuse, or unauthorized access. Licensee shall promptly notify Licensor if Licensee becomes aware of any infringement of the Licensor’s Intellectual Property Rights in the Software and fully cooperate with Licensor, at Licensor’s sole expense, in any legal action taken by Licensor to enforce its Intellectual Property Rights. For clarity, ownership of AI Output is governed exclusively by Section 8(f), and not by this Section 7.

8. AI FEATURE.

The Software includes an optional feature, the AI Script Assistant, which allows Authorized Users to generate, explain, or modify scripts for use with the Software using generative artificial intelligence. The AI Feature is disabled by default. Licensee may elect to enable and use the AI Feature at its own discretion, and such use is entirely optional and not required to use the Software. By enabling or using the AI Feature, Licensee agrees to be bound by the terms of this Section 8 and the remainder of this Agreement applicable to the AI Feature. Licensee may disable the AI Feature at any time, provided that disabling the AI Feature does not affect Licensee's obligations under this Agreement with respect to any AI Output or AI Prompt submitted prior to disabling it.

  1. Licensor does not host, operate, train, or control any large language model or other AI service used by the AI Feature. To use the AI Feature, Licensee must independently register for an account with, and obtain AI Credentials from, a Third-Party AI Provider of Licensee’s choosing among those supported by the Software. Licensor does not restrict, curate, or approve which Third-Party AI Provider, or which model made available by that Third-Party AI Provider, Licensee may select; the providers and models available to Licensee are determined solely by Licensee’s own AI API Credentials and the applicable Third-Party AI Provider’s account permissions. In the event Licensor introduces a Licensor-hosted AI service as an alternative to the bring-your-own-key model described in this Section 8, Licensor will identify that Licensor-hosted service as such within the user interface of the Software, and this Section 8 will be updated to describe the terms applicable to that service.
  2. Relationship with Third-Party AI Providers. Licensee’s relationship with any Third-Party AI Provider, including all fees, usage limits, data handling practices, privacy terms, and acceptable use policies of that provider, is solely between Licensee and such Third-Party AI Provider. Licensor is not a party to, and has no responsibility or liability arising out of, that relationship, including any terms of service Licensee accepts with a Third-Party AI Provider. Licensee is solely responsible for all fees, charges, or usage costs billed by any Third-Party AI Provider in connection with Licensee’s use of the AI Feature. Licensor makes no representation or warranty regarding the availability, uptime, performance, accuracy, security, or continued existence of any Third-Party AI Provider or its API, and Licensor shall have no liability for any interruption, error, or unavailability of the AI Feature arising from the acts, omissions, or service levels of any Third-Party AI Provider.
  3. AI API Credential Handling. Licensee is solely responsible for maintaining the confidentiality and security of its AI API Credentials, and for any use of its AI Credentials, whether or not authorized by Licensee, including use by any other Person to whom Licensee provides access to the Software. AI API Credentials entered by Licensee into the Software are stored on a local machine and encrypted Licensor shall have no liability for any unauthorized access to, or disclosure or misuse of, Licensee’s AI API Credentials except to the extent directly caused by Licensor’s gross negligence or willful misconduct in the limited respects, if any, that Licensor’s systems handle such credentials.
  4. Data Flow and Scope of Licensor’s Data Collection. When an Authorized User submits an AI Prompt through the AI Feature, the AI Prompt (and any attached file) is transmitted directly from the Licensed Machine to the applicable Third-Party AI Provider’s API using Licensee’s own AI API Credentials. Licensor is not an intermediary in, and does not process, inspect, log, or retain, the content of any such transmission, except that the Software may collect and transmit to Licensor telemetry consisting of metadata about Licensee’s use of the AI Feature including, without limitation, session and conversation identifiers, window type, the Third-Party AI Provider and model selected, token and turn counts, tool-call counts, attachment counts, script generation and compilation outcomes, error types, and elapsed processing time none of which includes the content of any AI Prompt, any attached file, or any AI Output. Licensee is solely responsible for reviewing and complying with the applicable Third-Party AI Provider’s data retention, data use, and model-training policies with respect to any AI Prompt submitted by Licensee, including whether that provider may retain or use such AI Prompt for its own purposes. Licensee may request that the telemetry described in this Section 8(d) be disabled in accordance with Section 6(e).
  5. Confidential and Regulated Data. LICENSEE SHALL NOT, AND SHALL NOT PERMIT ANY AUTHORIZED USER TO, SUBMIT AS AN AI PROMPT ANY PERSONALLY IDENTIFIABLE INFORMATION, PROTECTED HEALTH INFORMATION, PAYMENT CARD INFORMATION, PRIVILEGED OR ATTORNEY-CLIENT-PROTECTED MATERIAL, TRADE SECRETS OF ANY THIRD PARTY, OR OTHER CONFIDENTIAL OR REGULATED DATA, UNLESS LICENSEE HAS INDEPENDENTLY CONFIRMED THAT SUCH SUBMISSION IS PERMITTED UNDER APPLICABLE LAW AND UNDER LICENSEE’S OWN CONTRACTUAL AND ETHICAL OBLIGATIONS, INCLUDING ANY OBLIGATIONS OF CONFIDENTIALITY OR PRIVILEGE OWED TO LICENSEE’S OWN CLIENTS OR CUSTOMERS. ANY IN-APPLICATION NOTICE REGARDING CONFIDENTIAL DATA (INCLUDING, WITHOUT LIMITATION, A NOTICE SUBSTANTIALLY TO THE EFFECT OF “AI CAN MAKE MISTAKES. DO NOT SHARE CONFIDENTIAL DATA.”) IS PROVIDED AS A COURTESY REMINDER ONLY AND DOES NOT LIMIT LICENSEE’S OBLIGATIONS UNDER THIS SECTION 8(E). LICENSEE ACKNOWLEDGES THAT SUCH IN-APPLICATION NOTICE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY, AND THAT LICENSEE’S OBLIGATIONS UNDER THIS SECTION 8(E) APPLY REGARDLESS OF THE SPECIFIC BEHAVIOR OF THAT NOTICE.
  6. Ownership of AI Output. All scripts provided by Licensor remain the property of Licensor. Modifications or extensions of Licensor's scripts by Licensee or its agents do not create any rights in Licensee in such modified scripts. Nothing in this Agreement is intended to prevent Licensee from writing its own scripts or engaging others to do so. Licensee's right to use Licensor's scripts terminates with the termination of any License to the Software granted by this Agreement. Notwithstanding the foregoing, as between Licensor and Licensee, AI Output generated at the direction of an Authorized User through the AI Feature, using Licensee's own AI API Credentials, is treated as a script written by Licensee for purposes of Section 4(b) of this Agreement, and not as a script "provided by Licensor" for purposes of this Section 8(f) or Section 2(g). Licensee acknowledges that Licensee's ownership or rights in any AI Output may be limited by, or subject to, the terms of service of the applicable Third-Party AI Provider, and Licensor makes no representation regarding the ownership or Intellectual Property Rights status of AI Output as against any Third-Party AI Provider or any Third Party. Nothing in this Section 8(f) grants Licensee any ownership interest in the AI Feature itself, the Software, or Licensor's integration of the AI Feature into the Software, all of which remain subject to Section 7.
  7. Disclaimer of Warranties. IN ADDITION TO, AND WITHOUT LIMITING, SECTION 10 OF THIS AGREEMENT, LICENSEE ACKNOWLEDGES THAT AI OUTPUT IS GENERATED BY A THIRD-PARTY AI PROVIDER AND MAY BE INACCURATE, INCOMPLETE, INSECURE, OR UNSUITABLE FOR LICENSEE’S INTENDED PURPOSE, INCLUDING WHEN USED IN CONNECTION WITH REGULATED, LEGAL, OR EVIDENTIARY DATA SETS. LICENSOR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE ACCURACY, RELIABILITY, LEGALITY, OR FITNESS OF ANY AI OUTPUT, AND LICENSEE IS SOLELY RESPONSIBLE FOR REVIEWING, TESTING, AND VALIDATING ANY AI OUTPUT BEFORE RELYING ON IT OR EXECUTING IT WITHIN OR OUTSIDE THE SOFTWARE. LICENSOR DISCLAIMS ALL LIABILITY FOR ANY AI OUTPUT THAT INFRINGES THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY, AND LICENSEE SHALL BE SOLELY RESPONSIBLE FOR ANY SUCH INFRINGEMENT TO THE EXTENT ARISING FROM LICENSEE’S USE, DISTRIBUTION, OR EXECUTION OF AI OUTPUT.
  8. Export and Sanctions. Sections 13 and 14 of this Agreement apply to Licensee’s use of the AI Feature and any transmission of an AI Prompt to a Third-Party AI Provider to the same extent as they apply to the Software generally. Licensee is solely responsible for ensuring that its use of any Third-Party AI Provider, including the jurisdiction in which any AI Prompt is processed, complies with such Sections.

9. PAYMENT.

All License Fees and Support Fees are payable in advance in the manner set forth in the Order Form and are non-refundable, except as may be expressly set forth herein. Any renewal of the license or maintenance and support services hereunder shall not be effective until the fees for such renewal have been paid in full.

10. TERM AND TERMINATION.

  1. If the Licensee activates an Evaluation License, the term of this License is fourteen (14) days. After midnight on the fourteenth day after activation, the Software will automatically deactivate unless the Licensee purchases a subscription license and enters the activation code in the software when prompted.
  2. If the Licensee purchases a Subscription License, the License granted hereunder shall remain in effect for the term set forth on the Order Form or until earlier/until terminated as set forth herein (the “Term”).
  3. Licensee may terminate this Agreement by ceasing to use and destroying all copies of the Software and Documentation.
  4. Licensor may terminate this Agreement, effective upon written notice to Licensee, if Licensee, materially breaches this Agreement and such breach: (i) is incapable of cure; or (ii) being capable of cure, remains uncured fifteen (15) days after Licensor provides written notice thereof.
  5. Licensor may terminate this Agreement, effective immediately, if Licensee files, or has filed against it, a petition for voluntary or involuntary bankruptcy or under any other insolvency law, makes or seeks to make a general assignment for the benefit of its creditors or applies for, or consents to, the appointment of a trustee, receiver, or custodian for a substantial part of its property.
  6. Upon expiration or earlier termination of this Agreement, the license granted hereunder shall also terminate, and Licensee shall cease using and destroy all copies of the Software and Documentation. No expiration or termination shall affect Licensee’s obligation to pay all Licensee Fees and Support Fees that may have become due before such expiration or termination or entitle Licensee to any refund.

11. EXCLUSIVE REMEDY, AND DISCLAIMER/WARRANTY DISCLAIMER

  1. THE SOFTWARE AND DOCUMENTATION ARE PROVIDED TO LICENSEE “AS IS” AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, LICENSOR, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SOFTWARE AND DOCUMENTATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, THE LICENSOR PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE LICENSED SOFTWARE WILL MEET THE LICENSEE’S REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.
  2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW:
    1. IN NO EVENT WILL LICENSOR OR ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE LICENSORS OR SERVICE PROVIDERS, BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY USE, INTERRUPTION, DELAY, OR INABILITY TO USE THE SOFTWARE; LOST REVENUES OR PROFITS; DELAYS, INTERRUPTION, OR LOSS OF SERVICES, BUSINESS, OR GOODWILL; LOSS OR CORRUPTION OF DATA; LOSS RESULTING FROM SYSTEM OR SYSTEM SERVICE FAILURE, MALFUNCTION, OR SHUTDOWN; FAILURE TO ACCURATELY TRANSFER, READ, OR TRANSMIT INFORMATION; FAILURE TO UPDATE OR PROVIDE CORRECT INFORMATION; SYSTEM INCOMPATIBILITY OR PROVISION OF INCORRECT COMPATIBILITY INFORMATION; OR BREACHES IN SYSTEM SECURITY; OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, WHETHER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE LICENSOR WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    2. IN NO EVENT WILL LICENSOR’S AND ITS AFFILIATES’, INCLUDING ANY OF ITS OR THEIR RESPECTIVE LICENSORS’ AND SERVICE PROVIDERS’, COLLECTIVE AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENTOR ITS SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, EXCEED THE TOTAL AMOUNT PAID TO THE LICENSOR UNDER THIS AGREEMENT FOR (i) THE SOFTWARE OR (ii) UP TO TWELVE (12) MONTHS OF THE SPECIFIC SERVICES, THAT IS OR ARE THE SUBJECT OF THE CLAIM.
    3. THE LIMITATIONS SET FORTH IN SECTION 10(a) AND SECTION 10(b) SHALL APPLY EVEN IF THE LICENSEE’S REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.

12. EXPORT REGULATION.

The Software and Documentation may be subject to US export control laws, including the US Export Administration Act and its associated regulations. The Licensee shall not, directly or indirectly, export, re-export, or release the Software or Documentation to, or make the Software or Documentation accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. The Licensee shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the Software or Documentation available outside the US.

13. SANCTIONS COMPLIANCE.

Licensee agrees to comply fully with all Sanctions laws and regulations relating to the prohibition of sales of products and services to designated states or jurisdictions, individuals or companies to ensure that the Software or other products provided by Licensor are not used by any individuals, companies or organizations or in any country or territory, that, is, or whose government is, the subject of Sanctions at the time of receipt of the Software or products, or in any other manner that could result in a violation of Sanctions by any individuals or companies. By receiving the Software or products, Licensee is agreeing to the foregoing and representing and warranting it is not located in, under the control of, or a national or resident of any such country on any Sanctions list or person on any Sanctions list.

14. US GOVERNMENT RIGHTS.

The Software is commercial computer software, as such term is defined in 48 C.F.R. §2.101. Accordingly, if the Licensee is the US Government or any contractor therefor, Licensee shall receive only those rights with respect to the Software and Documentation as are granted to all other end users under license, in accordance with (a) 48 C.F.R. §227.7201 through 48 C.F.R. §227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. §12.212, with respect to all other US Government licensees and their contractors.

15. MISCELLANEOUS.

  1. All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby shall be instituted in the federal courts of the United States of America or the courts of the Commonwealth of Virginia in each case located in the City of Richmond, and each party irrevocably submits to the non-exclusive jurisdiction of such courts in any such legal suit, action, or proceeding. Service of process, summons, notice, or other document by mail to such party’s address set forth herein shall be effective service of process for any suit, action, or other proceeding brought in any such court.
  2. Licensor will not be responsible or liable to Licensee, or deemed in default or breach hereunder by reason of any failure or delay in the performance of its obligations hereunder where such failure or delay is due to strikes, labor disputes, civil disturbances, riot, rebellion, invasion, epidemic, hostilities, war, terrorist attack, embargo, natural disaster, acts of God, flood, fire, sabotage, fluctuations or non-availability of electrical power, heat, light, air conditioning, or Licensee equipment, loss and destruction of property, or any other circumstances or causes beyond Licensor’s reasonable control.
  3. All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and shall be deemed to have been given: (i) when delivered by hand (with written confirmation of receipt); (ii) when received by the addressee if sent by a nationally recognized overnight courier (receipt requested); (iii) on the date sent by facsimile or email (with confirmation of transmission) if sent during normal business hours of the recipient, and on the next business day if sent after normal business hours of the recipient; or (iv) on the third day after the date mailed, by certified or registered mail, return receipt requested, postage prepaid. Such communications must be sent to the respective parties at the addresses set forth on the Order Form (or to such other address as may be designated by a party from time to time in accordance with this Section 13(c).
  4. This Agreement, together with the Order Form, all annexes, schedules, and exhibits attached hereto and all other documents that are incorporated by reference herein, constitutes the sole and entire agreement between Licensee and Licensor with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
  5. Licensee shall not assign or otherwise transfer any of its rights, or delegate or otherwise transfer any of its obligations or performance, under this Agreement, in each case whether voluntarily, involuntarily, by operation of law or otherwise, without Licensor’s prior written consent, which consent Licensor may give or withhold in its sole discretion. For purposes of the preceding sentence, and without limiting its generality, any merger, consolidation, or reorganization involving Licensee (regardless of whether Licensee is a surviving or disappearing entity) will be deemed to be a transfer of rights, obligations, or performance under this Agreement for which Licensor’s prior written consent is required. No delegation or other transfer will relieve Licensee of any of its obligations or performance under this Agreement. Any purported assignment, delegation, or transfer in violation of this Section 13(e) is void. Licensor may freely assign or otherwise transfer all or any of its rights, or delegate or otherwise transfer all or any of its obligations or performance, under this Agreement without Licensee’s consent. This Agreement is binding upon and inures to the benefit of the parties hereto and their respective permitted successors and assigns.
  6. This Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer on any other Person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
  7. This Agreement may only be amended, modified, or supplemented by an agreement in writing signed by each party hereto. No waiver by any party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
  8. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
  9. This Agreement shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The Order Form and all Annexes, Schedules, and Exhibits referred to herein shall be construed with, and as an integral part of, this Agreement to the same extent as if they were set forth verbatim herein.
  10. The headings in this Agreement are for reference only and do not affect the interpretation of this Agreement.
